Terms of Service

SupplyTag is subscription software (software as a service) for healthcare practices. It lets your team scan reorder tags, review carts grouped by vendor, approve purchase orders, automate recurring reorders with Autopilot, track deliveries and export year-end spending reports. We may improve, change or add features over time.

SupplyTag is software only. We don't sell, stock, ship or deliver supplies, and we're not a distributor or reseller.

Purchase orders you create in SupplyTag are placed with your chosen vendor (for example Henry Schein or Patterson Dental) and are a contract between your practice and that vendor. Prices, availability, substitutions, shipping, delivery, returns, product quality and refunds for supplies are governed by the vendor's own terms. SupplyTag is not a party to those orders.

You're responsible for the orders your practice approves and for the Autopilot rules you set, including quantities, schedules and spending limits. Prices shown in SupplyTag are estimates; the vendor's invoice is final.

• You must be at least 18 and use SupplyTag for your business, not personal or household use.
• Give accurate information and keep it up to date.
• Keep your sign-in details secure. You're responsible for activity under your practice's accounts.
• The practice's Owner and Admins control who has access and what role they have. Tell us right away at support@getsupplytag.com if you think an account was accessed without permission.

• Plans and prices are listed on our Pricing page, in US dollars (USD). Applicable taxes are added at checkout.
• Subscriptions are billed in advance, monthly or yearly, through our payment processor, Stripe.
• Your subscription renews automatically at the end of each billing period at the then-current price until you cancel.
• If we change prices, we'll tell account Owners at least 30 days before the change applies to your next renewal.
• If a payment fails, we'll retry it and let you know. If it still isn't paid, we may pause access until the balance is settled.

A practice's first subscription includes a 30-day free trial, limited to one trial per practice. A payment card is required to start it. If you cancel before the trial ends, you won't be charged. If you don't cancel, the subscription you chose begins automatically and your card is charged when the trial ends.

You can cancel anytime from Settings → Plan & billing. Cancellation and refunds are covered by our Refund & Cancellation Policy, which is part of these terms.

Your practice owns the data it enters ("Practice Data"). You give us permission to host, process and display Practice Data only as needed to provide and support the Service. We handle personal information as described in our Privacy Policy. You can ask us to delete your Practice Data at any time.

SupplyTag is not designed to store protected health information (PHI) or other patient information, and you agree not to enter any. SupplyTag does not act as a HIPAA business associate for your practice.

You agree not to:

• use SupplyTag for anything illegal, fraudulent or harmful;
• try to access another practice's data, or accounts or systems you're not authorized to use;
• interfere with or overload the Service, or upload malware;
• copy, resell, reverse engineer or build a competing product from the Service;
• scrape the Service or use automated tools except features we provide; or
• use SupplyTag to place orders you're not authorized to place with a vendor.

We may suspend accounts that break these rules or put the Service or other users at risk.

SupplyTag works with services we don't control, such as your vendors and Stripe. Your use of those services is governed by their own terms, and we aren't responsible for them.

You can stop using SupplyTag and cancel at any time. We may suspend or end your access if you seriously or repeatedly break these terms, or if required by law. If we end the Service for reasons other than your breach, we'll refund any prepaid fees for the unused period.

We work hard to keep SupplyTag accurate and available, but the Service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties such as merchantability, fitness for a particular purpose and non-infringement. We don't guarantee the Service will be uninterrupted or error-free, or that suggested reorder quantities or schedules will meet your needs.

To the extent the law allows: (a) SupplyTag won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data; (b) SupplyTag isn't liable for supplies, prices, delivery, shortages or other matters handled by your vendors, or for orders placed under your Autopilot rules or approvals; and (c) our total liability for any claim relating to the Service is limited to the amount your practice paid us in the 12 months before the claim.

You'll defend and indemnify SupplyTag against claims arising from your misuse of the Service, your breach of these terms, or your orders and dealings with vendors.

These terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict-of-law rules. Any dispute will be heard in the state or federal courts located in Pennsylvania, and both parties consent to those courts.

We may update these terms. For material changes, we'll update the date above and notify account Owners at least 30 days in advance. If you keep using SupplyTag after changes take effect, you accept the updated terms.
